These Terms of Service were last updated on July 12, 2026.

User Types

Rally serves three distinct types of users, each with a different relationship to the platform:

Operators are business owners or administrators who subscribe to Rally to manage their mobile entertainment business. Operators are responsible for their account, their subscription, and for how they use the platform with their own clients and staff.

Clients are customers of operators who interact with Rally through the client portal, booking wizard, or payment pages. Clients do not have a direct subscription relationship with RALLY BOOKING LLC but are subject to these Terms when using any Rally-powered page or service.

Crew are staff members added to the platform by operators. Crew access is limited to assigned events and day-of operations through the crew portal. Crew are subject to these Terms when using any Rally-powered page or service.

Subscriptions and Billing

Access to Rally's operator dashboard and features requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually) via Stripe. By subscribing, you authorize RALLY BOOKING LLC to charge your payment method on a recurring basis until you cancel.

Subscription pricing, plan features, and billing intervals are displayed at the time of purchase and may be updated from time to time. Continued use of the platform after a price change constitutes acceptance of the new pricing.

You may manage or cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a subscription period.

Transaction Fees

When processing payments through Rally, a platform transaction fee applies depending on your subscription plan and chosen payment processor:

Rally Payments (Stripe Connect). A platform fee applies per transaction, set by your subscription plan. Current rates are 2.5% on Starter, 1.75% on Professional, and 1.0% on Business. This fee is in addition to any standard Stripe processing fees. RALLY BOOKING LLC may agree to a different rate for an individual account, including a reduced or zero rate.

Stripe Direct (bring your own Stripe). No platform fee applies. You connect your own Stripe account and are subject to Stripe's standard processing fees directly.

External or manual payments. No platform fee applies. Payments collected outside of Rally (cash, check, Venmo, and similar) are recorded manually and are not processed by RALLY BOOKING LLC.

The fee rate that applies to your account is shown in your account settings. RALLY BOOKING LLC reserves the right to update transaction fee rates with reasonable notice.

Auto-Billing and Saved Payment Methods

Rally supports saving client payment methods on file for future use. By saving a payment method, clients authorize the operator to charge that method for future invoices, deposits, installment payments, and balances due in connection with their bookings.

Operators may configure auto-billing to automatically charge saved payment methods on scheduled due dates. Clients will be notified of upcoming charges in accordance with the operator's configured settings. RALLY BOOKING LLC is not responsible for disputes arising between operators and clients regarding auto-billed charges.

If an automatic charge requires additional authentication (such as 3D Secure), the client will receive a payment link to complete the transaction manually.

Acceptable Use by Operators

Operators are responsible for how they use Rally with their own clients, staff, and business operations. By using Rally, operators agree that they will not:

  • Use the platform to collect payments, personal information, or signatures from clients without appropriate legal basis or consent;
  • Use automated messaging, booking confirmations, or SMS features to send unsolicited communications to clients who have not opted in;
  • Misrepresent their business, services, or pricing through Rally-powered booking pages or proposals;
  • Use Rally to conduct any unlawful business activity or to facilitate fraud;
  • Share account credentials or grant access to unauthorized parties.

RALLY BOOKING LLC reserves the right to suspend or terminate any operator account that violates these acceptable use requirements.

AI-Generated Content (Sidekick)

Rally offers AI in two forms. They are described separately here because they are billed differently.

The Sidekick assistant. Sidekick is Rally's conversational AI assistant — a dedicated feature an operator deliberately opens, asks questions of, and may ask to take actions on their behalf. The Sidekick assistant is included with every Rally subscription, subject to a monthly usage allowance. Usage beyond that allowance may result in a charge. See Sidekick Usage and Billing below.

AI features included throughout Rally. Rally also uses AI inside ordinary product features: natural-language search, message drafting and reply suggestions, thread summaries, scheduling conflict detection, CRM nudges, proposal generation, business insights, in-app help answers, and onboarding guidance. Where a Rally feature uses AI, that AI is part of the feature and carries no separate charge. It is not metered against a usage allowance and is never billed to the operator as usage. Which features are included in an operator's plan is determined by their subscription (see Subscriptions and Billing). Rally applies reasonable rate limits to these features to prevent automated abuse; those limits are not a usage budget and are not intended to be reached in ordinary use.

By default, both forms are powered by Anthropic's Claude API. Operators may optionally configure their own API keys for supported third-party AI providers, as described in the section below.

Where these Terms or our Privacy Policy describe how AI data is handled, retained, or shared — including any reference to "Sidekick" data handling — those descriptions apply to all of Rally's AI features, not only to the Sidekick assistant.

Provided as a tool, not a substitute for professional judgment. Sidekick is provided to assist operators. AI-generated content may be inaccurate, incomplete, or unsuitable for a particular situation. RALLY BOOKING LLC makes no warranties, express or implied, regarding the accuracy, completeness, suitability, or reliability of AI-generated content.

Operator review required. Operators are solely responsible for reviewing, editing, and approving any AI-generated content (including drafted messages, proposals, and insights) before sending it to a client, acting on it, or otherwise relying on it. RALLY BOOKING LLC is not liable for AI output that an operator sends or acts on without review.

No training on your data. We do not train AI models on operator or client data. Anthropic, our default AI subprocessor, does not use API inputs or outputs to train its models under its commercial API terms. Every provider on our bring-your-own-key allowlist is included on the same basis: their API-tier or commercial terms contractually exclude customer data from model training. Providers retain data for limited periods under their own published policies; see our Privacy Policy for detail on Sidekick data handling and retention.

No automated decision-making. Sidekick does not act autonomously and does not make automated decisions that produce legal or similarly significant effects regarding any individual. All decisions remain with the operator.

Sidekick Usage and Billing

This section applies only to the Sidekick assistant. The AI built into Rally's other features — search, drafting, summaries, conflict detection, nudges, proposals, insights, help, and onboarding guidance — carries no separate charge and is never billed as usage, regardless of anything in this section.

Included allowance. Every Rally subscription includes a monthly Sidekick usage allowance. The amount depends on the operator's plan. Current amounts are shown in the app under Settings → Sidekick.

If usage exceeds the allowance. By default, the Sidekick assistant keeps working, and the additional usage is metered and billed in arrears — it appears as a usage charge on the operator's next Rally invoice after the close of the billing period. Usage is metered from the measured cost of each request to the underlying AI provider, billed at the rate shown in the app.

No prepaid AI credits. Rally does not sell prepaid AI balances or credits, and does not require payment before AI usage occurs. An operator is only ever charged for usage that has already happened.

Operator controls. An operator may, at any time:

  • Enable a hard cap. New Sidekick assistant requests stop once the allowance is exhausted, so no overage charge can be incurred. The rest of Rally's AI features are unaffected by a hard cap and continue to work.
  • Subscribe to the Sidekick Plus add-on, which increases the included allowance at a better effective rate than overage. Cancellable at any time.
  • Supply their own AI provider API key. In that case AI usage is billed to the operator directly by their chosen provider, and Rally does not meter or bill it. See the section below.

Rates and changes. Current allowance amounts, the Sidekick Plus price, and the overage rate are shown in the app under Settings → Sidekick. RALLY BOOKING LLC may change them prospectively; changes do not apply retroactively to usage already incurred.

Operator-Supplied AI Provider Keys (BYO API Key)

Operators may, at their option, configure their own API keys to power Sidekick features in place of, or in addition to, Rally's default AI subprocessor. To preserve the no-training posture that applies to Rally's default configuration, BYO API keys are restricted to a curated allowlist of providers whose API-tier or commercial terms contractually exclude customer data from model training.

The approved allowlist is:

  • Anthropic API — standard Anthropic API keys. Currently accepted.
  • OpenAI API — standard OpenAI API keys. Approved but not yet enabled; keys are rejected until support ships.
  • Google Vertex AI — service account credentials only. Approved but not yet enabled; credentials are rejected until support ships.

API keys from other providers, tiers, or services — including but not limited to Google AI Studio (Gemini Developer API) keys and free-tier credentials from any provider — will be rejected at registration and on any subsequent edit. RALLY BOOKING LLC reserves the right to update the allowlist at any time, including by adding or removing providers in response to changes in those providers' published terms, and to enable or disable any approved provider as platform support changes.

By configuring a BYO API key, the operator acknowledges and agrees that:

  • The operator is solely responsible for the credentials supplied to Rally, for ensuring the linked account or project is in good standing, and for paying any fees or usage charges owed to the provider;
  • The operator's relationship with the third-party provider is governed by the operator's own agreement with that provider, not by RALLY BOOKING LLC;
  • RALLY BOOKING LLC may transmit data — which may include client personal information such as names, contact details, booking content, and message content — to the operator's selected provider as directed by the operator's configuration;
  • RALLY BOOKING LLC does not have visibility into the operator's account with the third-party provider and is not responsible for provider-side outages, billing disputes, account suspensions, or policy changes;
  • The operator is responsible for informing the operator's own clients about the use of the third-party provider to the extent required by applicable law;
  • RALLY BOOKING LLC may suspend, revoke, or remove BYO API key functionality (in whole or in part, including for specific providers) at its discretion, including if abuse is detected or suspected.

Third-Party AI Client Connections (MCP)

Operators may opt in to connect third-party AI clients — such as Claude.ai or other Model Context Protocol ("MCP") clients — to their Rally account. Once connected, these clients can read account data and perform certain actions on the operator's behalf. Actions that send messages, create bookings, or process refunds require an explicit confirmation step before they execute.

By enabling such a connection, the operator acknowledges and agrees that:

  • The operator is responsible for selecting, configuring, and supervising any third-party AI client connected to Rally;
  • Actions taken through a connected AI client (including any auto-confirmed by the operator's configuration) are deemed actions of the operator for all purposes under these Terms;
  • Third-party AI clients are governed by their own terms of service and privacy policies, which RALLY BOOKING LLC does not control;
  • The operator is responsible for any costs, message fees, refund liabilities, or client communications resulting from actions taken through a connected AI client; and
  • RALLY BOOKING LLC may suspend or revoke MCP connectivity for any account at its discretion if abuse is detected or suspected.

Ad Conversion Tracking

Rally offers an optional integration that lets an operator connect their own advertising accounts — currently Meta (Facebook and Instagram), Google Ads, and TikTok — so that Rally can report conversions from the operator's Rally booking pages back to the operator's ad platform.

When an operator enables this integration, Rally sends conversion events to the ad platform using the operator's own credentials and on the operator's behalf. These events may include a client's email address and phone number in hashed form, as required by the ad platform for conversion matching.

The operator is responsible for enabling this integration, for the credentials supplied, and for having an appropriate legal basis and any required disclosures or consent for sharing client data with the ad platform. The operator's relationship with each ad platform is governed by the operator's own agreement with that platform.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
  • remove any copyright or other proprietary notations from any materials and software on this website;
  • transfer the materials to another person or "mirror" the materials on any other server;
  • knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service RALLY BOOKING LLC provides;
  • use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

  • harvest, collect, or gather user data without the user's consent; or
  • use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to RALLY BOOKING LLC and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by RALLY BOOKING LLC at any time.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

The license you grant us can be terminated at any time by deleting your content or account. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.

SMS/MMS Communications

There are two distinct kinds of text message on the Rally platform, and they work differently.

Messages operators send to their clients and crew. Most SMS on the platform is sent by an operator, from the operator's own connected phone number (through a provider such as OpenPhone or Twilio), to that operator's own clients and crew. These messages relate to bookings, scheduling, and event coordination. The operator is the sender and is responsible for having the recipient's consent. RALLY BOOKING LLC provides the software that composes and dispatches these messages; it is not the sender of record.

Messages RALLY BOOKING LLC sends to you. We may send SMS and/or MMS communications for account, service, and informational purposes, and for promotional purposes only with your prior express consent.

Consent to communications. When you opt in to receive SMS/MMS communications, you expressly consent to receiving SMS and/or MMS messages for the purposes described in this section. RALLY BOOKING LLC does not charge any fees for these messages; however, message and data rates may apply, as determined by your mobile carrier.

Automated dialing technologies. RALLY BOOKING LLC may use an automatic telephone dialing system ("ATDS") or other automated technologies to send SMS and/or MMS messages for the purposes described in this section. By providing your consent, you acknowledge and agree to receive such communications delivered through automated technologies.

Opting out. To opt out of SMS communications at any time, reply "STOP" or "UNSUBSCRIBE" to any SMS/MMS message. Opt-out requests are honored by the underlying messaging provider and by the mobile carriers. Message frequency varies.

If you unsubscribe from receiving text messages, there may be a short delay while the request is processed. During this time, you may continue to receive SMS communications.

For assistance with opting out of SMS communications, please contact us at support@runonrally.com.

Liability

Our website and the materials on our website are provided on an "as is" basis. To the extent permitted by law, RALLY BOOKING LLC makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall RALLY BOOKING LLC or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if RALLY BOOKING LLC or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. RALLY BOOKING LLC does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

RALLY BOOKING LLC has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by RALLY BOOKING LLC of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms of Service or the use of Rally shall be resolved by binding individual arbitration rather than in court, except that either party may bring claims in small claims court if the claims qualify.

You agree that any arbitration will be conducted on an individual basis and not as a class action, collective action, or representative proceeding. You waive the right to participate in a class action lawsuit or class-wide arbitration against RALLY BOOKING LLC.

Before initiating arbitration, you agree to first contact us at support@runonrally.com and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved informally, either party may initiate arbitration in accordance with the rules of a recognized arbitration body in New Jersey.

Indemnification

You agree to indemnify, defend, and hold harmless RALLY BOOKING LLC, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • your access to or use of Rally;
  • your violation of these Terms of Service;
  • your violation of any applicable law or regulation;
  • your use of the platform in connection with your own clients, bookings, or business operations;
  • your use of any AI feature, AI-generated content, operator-supplied AI provider key (BYO API key), or third-party AI client connection (including MCP), and any actions taken, data transmitted, or communications sent through such features or connections;
  • your use of the ad conversion tracking integration, including any client data transmitted to an ad platform under your credentials;
  • any content you submit, post, or transmit through the platform; or
  • any dispute between you and a client, crew member, or other third party.

Service Availability

RALLY BOOKING LLC does not guarantee that Rally will be available at all times or without interruption. The platform is provided on an "as is" and "as available" basis. We may experience downtime due to maintenance, infrastructure issues, third-party service failures, or other factors outside our control.

RALLY BOOKING LLC will not be liable for any loss of business, revenue, bookings, or data resulting from platform downtime or service interruptions. We will make reasonable efforts to notify operators of planned maintenance in advance where possible.

Data Ownership and Export on Termination

You own the data you input into Rally, including your client records, booking history, and business information. RALLY BOOKING LLC does not claim ownership over your operational data.

Upon cancellation or termination of your account, you may request an export of your data within 30 days of termination by contacting support@runonrally.com. After 30 days, RALLY BOOKING LLC may permanently delete your data in accordance with our Privacy Policy and data retention practices. We recommend exporting your data before cancelling your account.

Prohibited Industries and Use Cases

Rally is intended for use by legitimate mobile entertainment and event service businesses. The following types of businesses and use cases are prohibited from using the platform:

  • Any business engaged in illegal activities or the sale of illegal goods or services;
  • Adult entertainment services;
  • Gambling, lottery, or games of chance;
  • Businesses that use the platform primarily to collect data rather than to deliver services;
  • Any use designed to circumvent payment processing rules or to facilitate money laundering or financial fraud.

RALLY BOOKING LLC reserves the right to determine, at its sole discretion, whether a business or use case is prohibited and to terminate access accordingly.

Beta and Preview Features

RALLY BOOKING LLC may make certain features available in beta or preview form before general release. These features are provided for testing and evaluation purposes and are offered without warranty of any kind. Beta features may be unstable, incomplete, or subject to significant change or removal without notice.

By using beta or preview features, you acknowledge that they may not perform as expected and agree that RALLY BOOKING LLC is not liable for any issues, data loss, or disruption arising from your use of pre-release functionality.

Feedback

If you provide RALLY BOOKING LLC with feedback, suggestions, ideas, feature requests, or other input regarding the platform (collectively, "Feedback"), you grant RALLY BOOKING LLC a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and build upon that Feedback in any way, without any obligation to compensate you or to keep that Feedback confidential.

You represent that any Feedback you provide does not contain confidential or proprietary information belonging to a third party.

Force Majeure

RALLY BOOKING LLC will not be liable for any failure or delay in performing its obligations under these Terms of Service where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, power failures, internet or telecommunications outages, third-party service provider failures, or any other event outside our reasonable control.

In such circumstances, our obligations will be suspended for as long as the cause of the failure or delay continues. We will make reasonable efforts to resume normal operations as quickly as possible.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of New Jersey. You irrevocably submit to the exclusive jurisdiction of the courts in that State.
